TERMS OF SERVICE

Endpoint Clients

1. Introduction and Acceptance of Terms

Welcome to Endpoint Clients.

These Terms of Service ("Terms") govern access to and use of the social media management and automation platform, software applications, integrations, workflows, websites, and related services provided by Endpoint Clients ("Endpoint Clients," "we," "us," or "our"), collectively referred to as the "Services."

Our Services are designed to help businesses, marketing teams, agencies, content creators, and other authorized users manage content publishing and related workflows across supported third-party platforms, including Facebook, Instagram, LinkedIn, YouTube, TikTok, and Pinterest.

By registering for, accessing, connecting an account to, or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you use our Services on behalf of a company, organization, or other entity, you represent that you have the legal authority to accept these Terms and authorize relevant activities on behalf of that entity.

If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Endpoint Clients provides software-based tools for social media management, content organization, publishing, and automation.

Depending on the functionality available under a customer's service plan and the applicable third-party platform approvals, the Services may include:

  • Connecting supported social media accounts using official authorization mechanisms, including OAuth.

  • Managing authorized social media account connections.

  • Creating and organizing content calendars.

  • Preparing and scheduling content for publication.

  • Uploading and managing text, images, videos, and other supported media.

  • Creating and managing publishing workflows.

  • Selecting publishing destinations and schedules.

  • Reviewing and approving content before publishing.

  • Uploading content to supported third-party platforms.

  • Publishing customer-approved content through supported APIs.

  • Viewing publishing status and workflow results.

  • Managing multiple authorized social media accounts through a central workspace.

  • Managing Pinterest Pins and boards where supported and authorized.

  • Uploading or publishing TikTok content through approved TikTok developer products.

  • Accessing other related content management or automation capabilities made available by Endpoint Clients.

Features and integrations may vary depending on service plans, account permissions, third-party API approvals, technical availability, geographical restrictions, and platform requirements.

The availability of a platform integration does not mean that every feature offered by that platform is supported.

We may modify, restrict, or discontinue individual features where reasonably necessary, subject to applicable contractual commitments and laws.

3. Eligibility and Account Registration

To use our Services, you must:

  1. Be at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher.

  2. Have the legal capacity and authority to accept these Terms.

  3. Provide accurate registration information.

  4. Maintain the security of your Endpoint Clients account.

  5. Use the Services only for lawful and authorized purposes.

  6. Hold the necessary permissions to manage any social media account you connect.

  7. Comply with the applicable eligibility requirements of each third-party platform.

You are responsible for activities performed through your Endpoint Clients account by you or users whom you authorize.

You must promptly notify Endpoint Clients if you suspect unauthorized access to your account or integrations.

4. Social Media Account Authorization

Our Services use supported third-party authorization mechanisms, including OAuth, to connect social media accounts.

When connecting a supported platform, you may be redirected to that platform's official authentication and authorization interface.

By completing the authorization process, you permit Endpoint Clients to access information and perform actions identified by the permissions you approve, subject to applicable platform policies.

Depending on the integration, such permissions may allow our Services to:

  • Identify a connected social media account, profile, Page, or Pinterest board.

  • Retrieve information necessary to establish and maintain the connection.

  • Maintain an authorized connection using access tokens or other approved credentials.

  • Upload content selected for publishing.

  • Create, manage, or publish content according to authorized instructions.

  • Retrieve publishing status or related information required for supported features.

The specific access granted depends on both the permissions approved by you and the capabilities approved by the third-party platform.

Endpoint Clients does not require direct access to your third-party social media passwords.

You remain the owner or authorized administrator of your connected social media accounts.

You may revoke access through the applicable platform's account settings or through another supported revocation method.

Revoking access may disable features that depend on that connection.

5. Authorization for Publishing and Automated Actions

By configuring, enabling, approving, or scheduling a supported publishing workflow, you authorize Endpoint Clients to execute the specifically selected actions on your behalf, subject to the additional authorization and consent requirements imposed by each connected platform.

You acknowledge that:

  • Authorized workflows may operate while you are not actively logged into the Services.

  • Some platforms permit scheduled publishing under previously configured instructions.

  • Other platforms require additional user approval, content selection, or publication steps.

  • You are responsible for reviewing your content, destinations, schedules, and settings.

  • Incorrect instructions may result in unintended publishing where the action is authorized and supported.

  • Actions already completed or transmitted to third-party platforms may not be reversible.

A general authorization to use Endpoint Clients does not override platform-specific requirements for individual content selection, explicit publishing consent, or manual approval.

5.1 TikTok Publishing Authorization

For TikTok integrations, the applicable publishing process may require users to:

  • Confirm the TikTok account receiving the content.

  • Review a preview of the content.

  • Review and edit applicable titles, captions, and hashtags.

  • Manually select an available privacy setting.

  • Select supported interaction permissions, including comments, Duet, or Stitch, where applicable.

  • Provide relevant commercial content disclosures.

  • Acknowledge TikTok's applicable music and branded-content requirements.

  • Expressly consent to sending the selected content to TikTok.

Endpoint Clients will not treat a blanket authorization to schedule content as permission to bypass TikTok's required publishing consent and user-experience controls.

Content will be transmitted for a publishing attempt only when the applicable consent and platform requirements have been satisfied.

5.2 Pinterest Publishing Authorization

For Pinterest integrations, users must specifically select the Pins they wish to create, save, or schedule.

When applicable, users must also select an authorized destination board and review the content and publishing instructions.

A scheduled workflow may publish an individually selected and authorized Pin at the configured time where permitted by Pinterest.

Endpoint Clients will not provide unrestricted, undisclosed, or automatically initiated Pinterest actions that bypass the user's specific content choices.

We will not initiate unauthorized following, saving, commenting, messaging, or engagement-related activities.

5.3 Cancellation and Control

Customers may request cancellation of pending publishing workflows or disconnection of linked accounts.

Cancellation is subject to whether the relevant activity has already been transmitted or completed.

We will not intentionally use authorized connections for unrelated activities outside the functionality selected and permitted by the customer.

6. Customer Content and Ownership

You retain ownership of the text, images, videos, graphics, media, trademarks, and other materials that you independently submit to our Services ("Customer Content"), subject to the rights of third-party owners.

Endpoint Clients does not acquire ownership of Customer Content merely because it is uploaded, scheduled, processed, or published through our Services.

You grant Endpoint Clients a limited, non-exclusive, worldwide license to host, store, reproduce, format, process, transmit, and publish Customer Content solely as reasonably necessary to provide the Services you authorize.

This permission includes transmitting content to connected platforms in accordance with your publishing instructions and applicable platform requirements.

This license does not grant Endpoint Clients unrestricted rights to sell Customer Content or use it for unrelated purposes.

You represent and warrant that:

  • You own or have obtained the necessary rights to use your content.

  • Your content does not unlawfully infringe another person's intellectual property or privacy rights.

  • You have obtained any required permissions from individuals appearing in submitted content.

  • Your content and instructions comply with applicable laws and third-party platform policies.

  • You are authorized to publish the content to the selected destinations.

  • You have obtained the necessary rights or licenses for music, sound recordings, images, video footage, and other included materials.

  • Any commercial claims, endorsements, or disclosures are lawful and accurate.

Third-party platform content and data remain subject to the rights and restrictions established by their respective owners and platforms.

You may not assume that publicly available TikTok or Pinterest content is free to download, reuse, modify, or republish.

7. Customer Responsibilities and Prohibited Activities

You are responsible for using the Services appropriately and complying with applicable laws and third-party platform requirements.

You agree not to:

  • Connect social media accounts without proper authorization.

  • Publish unlawful, fraudulent, abusive, misleading, or infringing material.

  • Use the Services for spam, prohibited engagement manipulation, or other unauthorized activities.

  • Attempt to bypass API limitations, account restrictions, approval requirements, or security controls.

  • Misuse access tokens, authentication credentials, or platform permissions.

  • Attempt to access another customer's information without authorization.

  • Interfere with the security, reliability, or availability of our Services.

  • Reverse engineer or misuse our software except where permitted by applicable law.

  • Use automation workflows to violate privacy, intellectual property, advertising, or consumer protection laws.

  • Scrape TikTok, Pinterest, or other platforms through unauthorized means.

  • Create automated engagement intended to manipulate platform ranking or recommendation systems.

  • Republish protected content without the required rights or authorization.

  • Misrepresent relationships with TikTok, Pinterest, or other supported platforms.

  • Use connected account information for unauthorized advertising, profiling, or data brokerage.

  • Circumvent platform-specific user-consent mechanisms.

  • Use Pinterest API-derived materials to train, fine-tune, or develop AI or machine-learning models without Pinterest's express permission.

Users are responsible for applicable advertising disclosures, sponsored content labels, affiliate disclosures, product claims, intellectual property permissions, and other legal obligations arising from their content.

We reserve the right to restrict, suspend, or terminate access where we reasonably determine that activities violate these Terms, applicable laws, or third-party platform requirements.

8. Third-Party Platform Integrations

Endpoint Clients operates independently of the social media platforms with which our Services integrate.

Supported platforms may include Facebook, Instagram, LinkedIn, YouTube, TikTok, Pinterest, and others as integrations become available.

Each third-party platform operates under its own terms, privacy policies, developer agreements, API requirements, and content policies.

You acknowledge that:

  • Third-party platforms may change or discontinue API capabilities.

  • Access tokens may expire, be revoked, or become invalid.

  • Certain account types may be ineligible for specific features.

  • API limits and publishing restrictions may affect functionality.

  • Platforms may reject, delay, restrict, modify, or remove content.

  • Access to integrations may require review or approval by the relevant platform.

Endpoint Clients cannot guarantee uninterrupted access to third-party APIs or continued availability of any particular integration.

8.1 TikTok Integration Terms

Where TikTok functionality is available, Endpoint Clients uses only the TikTok developer products and permissions approved for the relevant integration.

These may include TikTok Login Kit and the Content Posting API.

TikTok upload and Direct Post are separate functions.

Where content is uploaded to TikTok for further editing or publication, the user may need to open TikTok and complete the publishing process personally.

Where Direct Post is approved and enabled, users may publish supported content through the authorized integration, subject to TikTok's consent, user-experience, privacy, and content requirements.

The following restrictions apply:

API Approval: Direct publishing requires the relevant scope approvals and user authorization. Production features may be unavailable until the integration passes TikTok's applicable review or audit process.

Unaudited Applications: Content submitted through unaudited Direct Post applications is subject to TikTok's private-viewing restrictions and applicable user and posting limits.

Permitted Use: TikTok's Direct Post API is intended to enable authentic creators to share original content. Applications must meet TikTok's eligibility and intended-use requirements, including its restrictions on internal-only publishing tools and unauthorized copying of content from other platforms.

Publishing Controls: Users must be provided applicable controls for content review, privacy settings, interactions, and required commercial-content declarations.

Music and Commercial Content: Customers must comply with TikTok's applicable music licensing, music usage confirmation, branded content, promotional content, and disclosure requirements.

Watermarks and Promotional Material: Endpoint Clients will not automatically superimpose unauthorized promotional watermarks, logos, or branding on content transferred through TikTok's Content Posting API.

Posting Limits: TikTok may impose creator-level, application-level, content-type, or other publishing restrictions.

Content Moderation: TikTok may process, reject, restrict, or remove content according to its own rules.

Account Restrictions: Users may lose eligibility for specific functionality because of account privacy settings, content restrictions, regional limitations, or TikTok enforcement decisions.

We do not guarantee that any particular TikTok post will be publicly visible, approved, or distributed to a particular audience.

8.2 Pinterest Integration Terms

Where Pinterest functionality is available, Endpoint Clients uses Pinterest's approved APIs and authorization mechanisms.

These may include Pinterest API v5 features for supported Pins, boards, and account information.

The following requirements apply:

API Authorization: Access to Pinterest information and publishing features requires appropriate authorization and any applicable API approval.

Access Tiers: Pinterest may provide Trial or Standard API access. Under Trial access, newly created Pins and boards may be limited to creator-only visibility. Production functionality may require Standard access approval.

Individual Pin Selection: Customers must specifically select each Pin they want created, saved, or scheduled for publishing.

Board Authorization: Customers may select only boards they have permission to access or manage through the approved integration.

Content Accuracy: Customers are responsible for accurate Pin titles, descriptions, links, destination URLs, and other submitted content.

Content Rights: Customers must have the necessary rights to publish images, videos, product information, and other submitted materials.

Spam Prevention: Customers must not use the integration for repetitive spam, unauthorized engagement, misleading links, or attempts to manipulate Pinterest's systems.

Platform Restrictions: Customers must not circumvent Pinterest's account restrictions, geographic restrictions, rate limits, or API access controls.

Pinterest-Sourced Content: Content obtained through Pinterest APIs must not be republished, altered, scraped, sold, or reused beyond Pinterest's approved purposes. Where Pinterest content is displayed or shared, applicable attribution and linking requirements must be followed.

API Information: Pinterest account information obtained through its APIs may be used only as authorized and may not be sold, combined with unrelated account data, or retained beyond Pinterest's applicable allowances.

AI and Machine Learning: Pinterest API data and other Pinterest Materials must not be used to train, fine-tune, or develop artificial intelligence models unless Pinterest expressly permits the use.

Analytics: Pinterest-derived analytics may be displayed only where the relevant API access and Pinterest rules permit such functionality.

We do not guarantee any particular number of impressions, saves, clicks, conversions, or other results from published Pins.

8.3 Other Supported Platforms

Facebook, Instagram, LinkedIn, YouTube, and other supported integrations remain subject to their own authorization, content publishing, privacy, API, and developer-policy requirements.

Customers must comply with the relevant platform's policies when using a connected account.

8.4 Independent Service Provider

Endpoint Clients is not owned, sponsored, administered, or endorsed by TikTok, Pinterest, Meta, LinkedIn, YouTube, or other supported third-party platforms unless expressly stated otherwise.

Platform names and trademarks belong to their respective owners.

9. Publishing Accuracy, Content Delivery, and Automation Limitations

We aim to provide reliable content management and publishing tools.

However, successful publishing depends on external systems and conditions outside our reasonable control.

These may include:

  • Third-party service interruptions.

  • Expired or revoked authorization tokens.

  • API rate limits and publishing restrictions.

  • Unsupported media formats or file sizes.

  • Account-specific permissions and privacy settings.

  • Network failures and infrastructure outages.

  • Platform moderation or content review decisions.

  • Unapproved or restricted API capabilities.

  • Required user confirmation or manual publishing steps.

  • Incorrect customer-provided instructions.

  • Changes to third-party platform requirements.

Scheduling content does not guarantee that the relevant platform will publish or display it at the exact scheduled time.

Content submitted to TikTok may require processing before it becomes visible.

Content created through Pinterest's Trial API access may be visible only to the relevant creator.

Customers should review publishing results and verify critical or time-sensitive posts.

Endpoint Clients does not guarantee any specific audience reach, engagement, impressions, follower growth, conversion, sales, or other marketing outcomes.

10. Subscriptions, Fees, and Payments

Certain Services may be offered through paid subscriptions or other commercial arrangements.

Where applicable, pricing, billing periods, renewal conditions, usage limits, and included features will be disclosed through the relevant service plan, checkout process, order form, or separate written agreement.

By purchasing a paid service, you agree to pay the applicable disclosed fees and taxes.

Subscription renewals and cancellation conditions will follow the terms presented when the relevant subscription is purchased.

Refunds, where applicable, will be governed by the disclosed subscription conditions, separate written agreements, and mandatory consumer protection laws.

Endpoint Clients may change future pricing after providing notice where required by law or contractual commitments.

Third-party API restrictions, changes in publishing functionality, or loss of platform approval may affect feature availability.

Any subscription adjustment or remedy resulting from such changes will be governed by applicable contractual terms and mandatory law.

No fees are due unless you have agreed to an applicable paid arrangement.

11. Privacy, Data Protection, and Platform Information

Our collection, use, processing, retention, sharing, and deletion of personal information are described in our Privacy Policy.

By using the Services, you acknowledge that personal information and authorized platform data will be processed as described in the applicable Privacy Policy.

Where Endpoint Clients processes personal information on behalf of a business customer, additional data processing terms may apply where required by law.

Customers are responsible for ensuring that any personal information they submit or process through the Services is collected and used lawfully.

11.1 TikTok Information

TikTok account information and API-derived data may be accessed and processed only for authorized purposes and within the limits of TikTok's applicable developer terms.

We will comply with applicable TikTok requirements concerning access, disclosure, security, retention, and deletion.

11.2 Pinterest Information

Pinterest API-derived data is subject to Pinterest's restrictions on access, storage, sharing, and reuse.

Except where Pinterest expressly permits retention, including applicable campaign analytics exceptions, Pinterest API-derived information must not be persistently stored merely for convenience; the integration should retrieve such information through authorized API requests when needed.

Customer-submitted content that originates independently of Pinterest is distinguished from information obtained through Pinterest's APIs.

Pinterest API data must not be sold, disclosed to unrelated advertising providers, or combined with unrelated account data except as expressly permitted.

11.3 Data Deletion and Account Disconnection

Customers may request deletion of eligible personal information and connected-platform data by contacting info@endpointclients.com.

Account disconnection or token revocation may disable future publishing activity.

Deletion and retention of information will be handled according to our Privacy Policy, applicable legal obligations, and relevant platform requirements.

Deleting information from Endpoint Clients does not automatically delete content already published on third-party platforms.

12. Access Tokens and Account Security

Endpoint Clients uses approved third-party access tokens and related authorization credentials to perform authorized operations.

These credentials may be retained while necessary to maintain approved integrations, subject to the relevant platform's security and data-retention requirements.

We take appropriate measures to protect sensitive authorization information and restrict access to authorized systems and service providers.

We do not request customer TikTok or Pinterest passwords or session cookies as a substitute for official authorization.

You agree not to share Endpoint Clients account credentials with unauthorized individuals.

You must notify us promptly if you believe your account, automation configuration, or connected social media authorization has been compromised.

We may temporarily restrict access or disable an integration where reasonably necessary to protect account security, prevent unauthorized activity, or comply with platform requirements.

13. Intellectual Property

Endpoint Clients retains ownership of its proprietary software, platform architecture, source code, workflow systems, branding, documentation, and other intellectual property associated with the Services.

Subject to these Terms and any applicable subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your authorized purposes.

This right does not transfer ownership of our technology to you.

You may not copy, distribute, resell, sublicense, or commercially exploit our proprietary software except as expressly permitted under a separate written agreement or applicable law.

Nothing in these Terms removes your ownership rights in Customer Content.

TikTok, Pinterest, and other third-party services retain their respective rights in platform technology, content, trademarks, developer materials, and protected information.

14. Confidentiality

Each party may receive non-public business or technical information belonging to the other party while using or providing the Services.

Each party agrees to use reasonable care to protect confidential information and not disclose it except where reasonably necessary to perform its obligations, with appropriate confidentiality protections, or as required by law.

Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed without use of confidential information, or lawfully received from another source without confidentiality restrictions.

These obligations also apply to confidential API credentials, non-public integration information, and sensitive information obtained through authorized platform connections, subject to any stricter applicable platform requirements.

15. Service Availability and Maintenance

We may perform maintenance, implement security updates, improve functionality, or make technical changes to the Services.

Temporary service interruptions may occur.

We will use commercially reasonable efforts to maintain service reliability but do not guarantee uninterrupted or error-free availability.

Third-party API changes, developer-product deprecations, platform enforcement actions, or changes to approved permissions may require us to modify or temporarily disable certain functionality.

Any specific service-level commitments will apply only where expressly agreed in writing.

16. Suspension and Termination

You may stop using the Services and request closure of your account.

Where supported, connected accounts may be disconnected through the relevant platform or application settings. You may also contact us for assistance.

We may suspend or terminate access where reasonably necessary because of:

  • Material violations of these Terms.

  • Unauthorized or unlawful activities.

  • Security threats or misuse.

  • Unpaid fees under an applicable paid arrangement.

  • Requirements imposed by law or third-party platform operators.

  • Revocation or termination of necessary third-party API access.

  • Discontinuation of relevant Services.

Where appropriate and practicable, we will provide notice before suspension or termination.

Upon termination, your right to use the affected Services ends.

Authorized automation processes associated with terminated connections will cease, subject to technical processing already completed or submitted.

Customer information will be handled according to our Privacy Policy, applicable legal requirements, and relevant platform deletion rules.

Where required by TikTok or Pinterest, affected platform information and authorization credentials will be deleted or otherwise handled according to the applicable requirements.

17. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis without warranties beyond those expressly stated in an applicable written agreement.

We do not warrant that:

  • The Services will operate without interruption.

  • Third-party integrations will remain available indefinitely.

  • Any platform will approve a particular API integration.

  • Content will always be successfully published or publicly visible.

  • Scheduled publishing will always occur at an exact time.

  • The Services will meet every customer's specific business objectives.

  • Any particular engagement, audience growth, or business outcome will result from publishing activities.

Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Endpoint Clients will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of business opportunities, or loss of anticipated revenue arising from use of the Services.

This includes losses resulting from third-party API interruptions, account restrictions, content rejection, publishing failures, or platform enforcement actions, to the extent such losses are not caused by liability that cannot lawfully be excluded.

To the extent permitted by applicable law, Endpoint Clients' aggregate liability arising from the Services will not exceed the amounts actually paid by the affected customer for the Services during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, willful misconduct, or any other liability that cannot lawfully be limited or excluded, including applicable mandatory data protection obligations.

19. Indemnification

To the extent permitted by applicable law, business customers agree to defend and indemnify Endpoint Clients against third-party claims, losses, and reasonable expenses arising from:

  • Unlawful Customer Content.

  • Infringement of third-party intellectual property or privacy rights.

  • Unauthorized social media account connections.

  • Material misuse of the Services.

  • Publishing content without necessary legal rights or disclosures.

  • Violations of applicable TikTok, Pinterest, or other third-party platform rules resulting from the customer's actions.

This obligation applies only to the extent the relevant claim arises from the customer's actions or breach of these Terms and not from Endpoint Clients' own unlawful conduct or breach.

20. Changes to the Services or Terms

We may update these Terms to reflect changes in our Services, applicable laws, technical requirements, or third-party platform policies.

The updated Terms will be made publicly available with a revised effective date.

For material changes, we will provide advance notice where required by law.

Continued use of the Services after an updated version takes effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree to updated Terms, you must discontinue using the affected Services.

21. Dispute Resolution

If a dispute arises concerning these Terms or the Services, the parties agree to make a reasonable, good-faith effort to resolve the issue through direct communication before initiating formal legal proceedings, except where urgent relief is necessary.

Nothing in these Terms prevents either party from exercising rights or remedies available under applicable law.

Any unresolved dispute will be subject to the jurisdiction of a court legally competent to hear it, without prejudice to mandatory consumer or statutory protections.

22. General Provisions

Entire Agreement: These Terms, our Privacy Policy, and any applicable signed service agreement or order form govern the relevant Services. Where an expressly negotiated written agreement conflicts with these Terms, that agreement will prevail to the extent of the conflict, subject to mandatory law and applicable third-party platform restrictions.

Third-Party Platform Terms: These Terms do not replace or override TikTok's, Pinterest's, or another provider's terms and policies governing that provider's services.

Severability: If any provision is found unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

No Waiver: Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

Assignment: Neither party may transfer its material rights or obligations in violation of applicable law or any binding contractual restriction.

Independent Parties: Nothing in these Terms creates a partnership, employment relationship, or joint venture between Endpoint Clients and a customer.

Third-Party Trademarks: The names, logos, and trademarks of TikTok, Pinterest, and other platforms belong to their respective owners. Their appearance or reference does not imply sponsorship or endorsement.

Applicable Platform Policies: Users are responsible for complying with the third-party platform policies applicable to their connected accounts, content, and authorized actions.
